Briefin Terms
and Conditions

1. Parties, Acceptance & Scope

1.1. Definitions

• “Briefin”, “we”, “us” refers to Magnetic Software Ltd (“Magnetic”), developer and operator of Briefin.
• “Customer”, “you” refers to the individual or entity that registers for or uses Briefin.
• “Agreement” refers to these Terms, the Order Form (if any), and any referenced policies. ‍
• “Services” means the access and use of Briefin software, features, subscriptions, brief bundles, trial, and associated support.
• “Order Form” means the document or checkout acceptance specifying your chosen plan, bundles, billing frequency, start and renewal dates.

1.2 Acceptance
By registering, using the Service, or purchasing, you agree to be legally bound by this Agreement.

1.3 Priority of Terms
In case of conflict, this Agreement governs unless Magnetic expressly agrees in writing to alternative terms.

2. License & Access

2.1 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use Briefin during the Subscription Period, strictly in accordance with your plan, subject to these Terms.

2.2 Restrictions
You may not modify, reverse engineer, distribute, or use Briefin except as permitted herein.

3. Subscriptions, Plans & Billing

3.1 Subscription Periods

• Monthly plans reset on the same day each billing cycle ("Reset Date"). Unused briefs do not roll over.

• Trial: 14day access with 10 briefs; no auto-conversion to paid plan; you may upgrade anytime during or after trial.

3.2 Bundles
Purchased additional brief bundles never expire and are used after your plan’s monthly briefs. They are available instantly upon payment.

3.3 Plan Upgrades & Downgrades

• Upgrades take effect immediately with prorated charges for the remaining cycle.

• Downgrades take effect at your next billing cycle; current benefits remain until then.

3.4 Billing Frequency & Changes

• Monthly Billing: Charged each cycle on your billing date; easy to switch plans.

• Yearly Billing: Charged annually with a 10% discount. Brief allocation still resets monthly. Yearly plans can only switch to monthly at renewal.

3.5 Fees, Changes & Refunds
We reserve the right to adjust pricing or billing structures with notice. No refunds for unused briefs or remaining paid periods, except as mandated by law or specified. Trial users get no auto-conversion or guaranteed refunds.

4. Support, Suspension & Termination

4.1 Support
We provide reasonable support as per our support policy.

4.2 Suspension / Termination by You
You may cancel your subscription anytime; cancellation becomes effective at the end of the current billing period.

4.3 Termination by Us
We may suspend or terminate access without notice for breaches, misuse, or fraudulent activity.

4.4 Effect of Termination
Upon termination, your access ends; used briefs, bundles, or unused features are non-refundable unless local law requires otherwise.

5. Trial Terms

The 14day trial includes:

• 10 briefs to test Growing plan features.

• No autoconversion to paid plans.

• You may upgrade anytime during or after the trial period.

6. Data, Privacy & Security

6.1 Customer Data Ownership
You retain all rights to content uploaded or created in Briefin.

6.2 Use & Protection
We handle your data in accordance with our Privacy & GDPR policy. We may anonymize aggregated usage data for internal analytics.

6.3 Security Measures
We maintain reasonable technical and organizational safeguards to protect your data.

7. Intellectual Property

All intellectual property rights in Briefin, including design, software code, UI, and trademarks, remain solely with Magnetic. Any feedback you provide may be used by Magnetic without obligation to you.

8. Warranties & Disclaimers

We provide Briefin "as is" and make no warranties of uptime, performance, or suitability for a particular purpose. We disclaim all implied warranties to the fullest extent permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGNETIC (AND AFFILIATES) SHALL NOT BE LIABLE FOR:

• INDIRECT, incidental, consequential, exemplary, or punitive damages.
• ANY LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITY.
• Any claims arising from unauthorized use, data loss, or reliance on the Service.

IN NO EVENT SHALL MAGNETIC’S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNTS PAID BY YOU UNDER THIS AGREEMENT IN THE 12MONTHS PRIOR TO THE CLAIM.

This limitation applies regardless of the cause of action, even if advised of possible damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Magnetic from any claims arising from your use of Briefin, violation of this Agreement, or any user content you upload.

11. Governing Law & Dispute Resolution

This Agreement is governed by the laws of England. All disputes shall be resolved in that jurisdiction.

12. Changes to Terms

We may modify these Terms at any time by posting updated versions. Continued use after changes constitutes acceptance.

13. General Provisions

13.1 Entire Agreement
This Agreement, together with any Order Form, constitutes the complete agreement between you and Magnetic concerning Briefin.

13.2 Severability & Waiver
If any provision is invalid, it shall be severed without affecting the remainder. A failure to enforce any right is not a waiver.

13.3 Assignment
You may not assign this Agreement without our prior written consent.

13.4 Notices
Notices to you are sent via email to your registered address. Notices to us should be sent to our registered office.

14. Protection Against Suit

You agree that under no circumstances will you initiate legal action or claim against Briefin or Magnetic beyond the limitations specified herein. You further waive any rights to class-actions or collective litigation.
